`INTEL LICENSE AGREEMENT HOST SOFTWARE`

IF YOU USE THIS Host Software, YOU WILL BE BOUND BY THE TERMS OF THIS AGREEMENT. DO NOT USE THE HOST SOFTWARE UNTIL YOU HAVE CAREFULLY READ AND AGREED TO THE FOLLOWING TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, PROMPTLY RETURN OR DESTROY THE HOST SOFTWARE AND ANY ACCOMPANYING ITEMS.

LICENSE: Intel grants you the non-exclusive right to use the enclosed host software drivers and host applications, (“Host Software”). You will not use, copy, modify, rent, sell or transfer the Host Software or any portion thereof except as provided in this Agreement.

You may:
1. Install/Use the Host Software internally, including over your company network;
2. Copy the Host Software for backup or archive purposes;
3. Modify the Host Software to suit your USB application, that interfaces only with an Intel USB microcontroller;
4. Sublicense the object code version of the Host Software as modified by you as part of your USB host software product, that interfaces only with an Intel USB microcontroller. But only if your sublicense contains terms substantially similar to those in this license, except for the terms regarding restrictions on use.

You will not:
1. Sublicense the Host Software in source code form;
2. Copy or use the Host Software, in whole or in part, except as provided in this Agreement.

OWNERSHIP AND COPYRIGHT OF HOST SOFTWARE: Title to the Host Software and all copies thereof remain with Intel or its vendors. The Host Software is copyrighted and is protected by United States copyright laws and international treaty provisions. You will not remove the copyright notice from the Host Software. You agree to prevent any unauthorized copying of the Host Software. Nothing in this Agreement shall be construed to prevent Intel from licensing the Host Software to third parties.

DISCLAIMER: THE HOST SOFTWARE IS PROVIDED "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND INCLUDING WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT OF INTELLECTUAL PROPERTY, OR FITNESS FOR ANY PARTICULAR PURPOSE. IN NO EVENT SHALL INTEL OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE HOST SOFTWARE, EVEN IF INTEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Intel further does not warrant the accuracy or completeness of the Host Software or information, text, or other items contained within the Host Software. Intel may make changes to the Host Software at any time without notice. Intel makes no commitment to update the Host Software.

INDEMNITY: You will defend or settle any suit or proceeding brought against Intel concerning your use or sale of the Host Software or associated object code including but not limited to: (a) any warranty claims concerning the Host Software by your customers; (b) any product liability claims by your customers.

USER RESPONSIBILITY: You assume sole responsibility for testing the Host Software and its associated object code, and ensuring that the associated object code will meet your requirements for use in your hardware products.

AUDIT: Intel reserves the right to conduct or have conducted audits to verify your compliance with this Agreement.

TERMINATION OF THIS LICENSE: Intel may terminate this license at any time if you are in breach of any of its terms and conditions. Upon termination, you will immediately destroy the Host Software or return all copies of the Host Software and documentation to Intel along with any copies you have made.

U.S. GOVERNMENT RESTRICTED RIGHTS: The Host Software and documentation are provided with "RESTRICTED RIGHTS." Use, duplication or disclosure by the Government is subject to restrictions as set forth in FAR52.227-14 and DFAR252.227-7013 et seq. or its successor. The use of this Host Software by the Government constitutes acknowledgment of Intel's proprietary rights in the Host Software.

ENTIRE AGREEMENT: This Agreement constitutes the entire agreement between the parties and supersedes any prior or contemporaneous oral or written agreements,.

APPLICABLE LAWS: Intel makes no representation that the Host Software is appropriate or available for use in locations outside the United States, and access to it from territories where its contents are illegal or prohibited. Those who choose to access this Host Software from locations outside the United States do so on their own initiative and are responsible for compliance with applicable local laws. You may not use or export the Host Software in violation of U.S. export laws and regulations. Any claim relating to the Host Software shall be governed by the internal substantive laws of the State of Delaware.
