`INTEL LICENSE AGREEMENT SAMPLE FIRMWARE`

IF YOU USE THIS Sample FirmWARE, YOU WILL BE BOUND BY THE TERMS OF THIS AGREEMENT. DO NOT USE THE SAMPLE FIRMWARE UNTIL YOU HAVE CAREFULLY READ AND AGREED TO THE FOLLOWING TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, PROMPTLY RETURN OR DESTROY THE SAMPLE FIRMWARE AND ANY ACCOMPANYING ITEMS.

LICENSE: Intel grants you the non-exclusive right to use the enclosed sample firmware, (“Sample Firmware”). You will not use, copy, modify, rent, sell or transfer the Sample Firmware or any portion thereof except as provided in this Agreement.

You may:
1. Install/Use the Sample Firmware internally, including over your company network;
2. Copy the Sample Firmware for backup or archive purposes;
3. Modify the Sample Firmware to suit your USB application that is designed for use only with an Intel USB microcontroller;
4. Incorporate the object code version of the Sample Firmware as modified by you into your USB hardware product containing an Intel USB microcontroller.

You will not:
1. Sublicense the Sample Firmware in source code form;
2. Copy or use the Sample Firmware, in whole or in part, except as provided in this Agreement.

OWNERSHIP AND COPYRIGHT OF SAMPLE FIRMWARE: Title to the Sample Firmware and all copies thereof remain with Intel or its vendors. The Sample Firmware is copyrighted and is protected by United States copyright laws and international treaty provisions. You will not remove the copyright notice from the Sample Firmware. You agree to prevent any unauthorized copying of the Sample Firmware. Nothing in this Agreement shall be construed to prevent Intel from licensing the Sample Firmware to third parties.

DISCLAIMER: THE SAMPLE FIRMWARE IS PROVIDED "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND INCLUDING WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT OF INTELLECTUAL PROPERTY, OR FITNESS FOR ANY PARTICULAR PURPOSE. IN NO EVENT SHALL INTEL OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SAMPLE FIRMWARE, EVEN IF INTEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Intel further does not warrant the accuracy or completeness of the Sample Firmware or information, text, or other items contained within the Sample Firmware. Intel may make changes to the Sample Firmware at any time without notice. Intel makes no commitment to update the Sample Firmware.

INDEMNITY: You will defend or settle any suit or proceeding brought against Intel concerning your use or sale of the Sample Firmware or associated object code including but not limited to: (a) any warranty claims concerning the Sample Firmware by your customers; (b) any product liability claims by your customers.

USER RESPONSIBILITY: You assume sole responsibility for testing the Sample Firmware and its associated object code, and ensuring that the associated object code will meet your requirements for use in your USB hardware products.

AUDIT: Intel reserves the right to conduct or have conducted audits to verify your compliance with this Agreement.

TERMINATION OF THIS LICENSE: Intel may terminate this license at any time if you are in breach of any of its terms and conditions. Upon termination, you will immediately destroy the Sample Firmware or return all copies of the Sample Firmware and documentation to Intel along with any copies you have made.

U.S. GOVERNMENT RESTRICTED RIGHTS: The Sample Firmware and documentation are provided with "RESTRICTED RIGHTS." Use, duplication or disclosure by the Government is subject to restrictions as set forth in FAR52.227-14 and DFAR252.227-7013 et seq. or its successor. The use of this Sample Firmware by the Government constitutes acknowledgment of Intel's proprietary rights in the Sample Firmware.

ENTIRE AGREEMENT: This Agreement constitutes the entire agreement between the parties and supersedes any prior or contemporaneous oral or written agreements,.

APPLICABLE LAWS: Intel makes no representation that the Sample Firmware is appropriate or available for use in locations outside the United States, and access to it from territories where its contents are illegal or prohibited. Those who choose to access this Sample Firmware from locations outside the United States do so on their own initiative and are responsible for compliance with applicable local laws. You may not use or export the Sample Firmware in violation of U.S. export laws and regulations. Any claim relating to the Sample Firmware shall be governed by the internal substantive laws of the State of Delaware.
